1. About Us
These Terms & Conditions (“Terms”) govern your use of the services provided by Digital Health Global Solutions Ltd (“we”, “us”, “our”, or “DHGS”).

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
 
2. Our Services
We provide a digital health assistant service (“Service”), including secure messaging, patient engagement, and health-related information tools.
Important:
• Our Service is not a substitute for professional medical advice, diagnosis, or treatment.
• Any clinical decisions remain the responsibility of qualified healthcare professionals.
• The Service is designed to support NHS clinical safety standards and is compliant with applicable information governance requirements.
Service Development and Testing
• The AskMedi service is currently in an active testing and evaluation phase during 2025.
• Features, functionality, and content may be modified, suspended, or removed without notice as part of product development, safety validation, and regulatory compliance work.
• We plan for full deployment of the service in 2026, subject to completion of testing and any required approvals.
• Until then, the Service is provided on a beta basis and may contain errors, limitations, or incomplete features.
• By using the Service during this period, you acknowledge that it is under development and agree to use it at your own discretion.
 
3. Eligibility
You must:
• Be at least 18 years old, or have parental/guardian consent if under 18.
• Have the legal right to enter into a binding contract in your jurisdiction.
• Use the Service only for lawful purposes.
 
4. Account Registration & Security
• You are responsible for safeguarding your account credentials and any activities under your account.
• You must notify DHGS immediately if you suspect unauthorised access or a security breach.
• We comply with NHS DSPT standards for account management, including password strength, authentication, and session control.
 
5. License, Use, and Restrictions
• Subject to compliance with these Terms, DHGS grants you a limited, revocable, non-exclusive license to use the Service.
• You may not:
o Reverse engineer, decompile, or modify the Service.
o Share your account access without permission.
o Use the Service to provide false or misleading information.
o Use it for any purpose that breaches applicable healthcare laws or regulations.
 
6. Data Protection & Security
• We process personal and special category health data in compliance with UK GDPR, Data Protection Act 2018, and NHS DSPT requirements.
• All patient data is encrypted in transit and at rest.
• Access to personal data is role-based and logged.
• We conduct regular security testing and comply with recognised standards (ISO 27001 principles).
• Data will only be transferred outside the UK where appropriate safeguards (e.g., ICO-approved Standard Contractual Clauses) are in place.
 
7. Medical Disclaimer & Clinical Responsibility
• The Service provides information support only and is not intended to replace clinical judgment.
• If you are a healthcare provider, you retain full responsibility for clinical decisions.
• DHGS will not be liable for any outcomes where information from the Service is used as the sole basis for medical decision-making.
 
8. Intellectual Property
• All intellectual property rights in the Service remain the exclusive property of DHGS or its licensors.
• You are granted only the rights expressly set out in these Terms.
 
9. Changes to Service
• We may modify, suspend, or discontinue the Service at any time with reasonable notice.
• Any changes to agreed scope for paid services must be confirmed in writing via a signed amendment.
 
10. Payments & Suspension (If Applicable)
• If you subscribe to paid features, all charges are non-refundable unless required by law.
• Failure to make timely payments may result in suspension or termination of your account.
 
11. Data Usage & Anonymisation
• We may use anonymised and aggregated usage data for:
o Service improvement
o Performance monitoring
o AI model training
• All such use complies with NHS anonymisation guidelines and the ICO Anonymisation Code of Practice.
• We will never sell personal data.
 

12. Clinical Safety & Incident Reporting
• We are in the process of appointing a qualified Clinical Safety Officer in line with the United Kingdom National Health Service DCB0129/DCB0160 standards.
• Until this appointment is confirmed, all clinical safety queries, hazard reports, or incident notifications should be directed to:

• These will be logged and escalated internally to the responsible leadership team for review and, where required, action in accordance with the United Kingdom National Health Services safety reporting guidelines.
 
13. Third-Party Services
• The Service may integrate with third-party platforms (e.g., messaging services).
• We are not responsible for third-party content, policies, or actions.
 
14. Limitation of Liability
To the maximum extent permitted by law:
• We are not liable for indirect, incidental, or consequential losses.
• Our total liability will not exceed £100 or the total fees paid to us in the 12 months before the claim.
We do not limit liability for:
• Death or personal injury caused by our negligence.
• Fraud or fraudulent misrepresentation.
• Any liability that cannot be excluded by law.
 
15. Termination
We may suspend or terminate your access if:
• You breach these Terms.
• You misuse the Service.
• Required by law or regulatory authorities.
You may terminate your account at any time by contacting us.

 
16. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
